Uniqode Phygital, Inc., a Delaware incorporated entity (hereinafter collectively referred to as “Uniqode”, “We”, “Us” or “Our”). We have developed this Privacy Policy to explain how We collect, process, use, share, retain, secure and transfer Your Personal Data when You download, install, and use Our mobile application (the “App”). This Privacy Policy applies to any individual who uses the App, and are referred to herein as “You”, “Your” or “User”.

  • “App Data” means all electronic data, text, messages or other materials, including Personal Data of End-Users, submitted to the App by Customer in connection with Customer’s use of the App.
  • “Personal Data” means data relating to a living individual who is or can be identified either from the data or from the data in conjunction with other information that is in, or is likely to come into, the possession of the Controller.
  • “Customer Data” means all electronic data, text, messages or other materials, including Personal Data of End-Users, submitted to the App by Customer in connection with Customer’s use of the App.
  • “Applicable Data Protection Law” means any law, statute, declaration, decree, directive, legislative enactment, order, ordinance, regulation, rule or other binding instrument, in each case having the effect of law, applicable to processing of Personal Data (in each case as amended, consolidated, re-enacted or replaced from time to time);

The Personal Data We receive can be broadly classified into three categories as mentioned below, such data helps Us personalize and continually improve Our App and Your experience:

Personal Data You directly provide Us:

The Personal Data that We collect directly from You are as follows:

  • When You sign-up for Our App, We collect sign-up and account information including Your name, telephone number, e-mail address and credit card details;
  • We collect any information You provide Us i) when You speak to Our sales representative or live chat representative, ii) when You submit web forms on Our App for providing feedback or suggestions, making requests, or participation in surveys, contests, webinars, events, promotions, sweepstakes, iii) when You contact Us for any customer support service, iv) when You provide testimonials, forms or information to Us in any other contexts;
  • When you log-on to Our App using any sign-on service of Google or any other social networks We collect relevant information necessary to enable Our App to access that social network and Your data contained within that social network.
  • By providing Us with this data, You expressly consent to Our use of Your Personal Data in accordance with this Privacy Policy.

Personal Data We collect automatically:

We automatically receive and store certain types of information whenever You interact with Us over the Mobile App. We collect navigational information about what website pages You access or visit, Your device’s Internet Protocol “IP” address, information about Your mobile device (such as device ID, operating system of Your mobile device), non-precise geographic location, technical information about Your device, data about the type of browser and operating system used, and whether You have chosen to opt-out of certain services or information sharing and other metadata concerning with Your usage of Our App. Additionally, the App may require access to your devices camera and photos. We also collect Your Personal Data from other third-party sources which might include social media networks, without breach of any confidentiality clause and in accordance with the Applicable Data Protection Law. We will ensure that these third-party sources either have Your consent or are legally permitted to disclose Your Personal Data to Us.

Personal Data we collect from other sources:

We may receive limited information about You from other sources such as mailing list providers (postal and email) and combine that information with information We collect directly from You. For example, We may receive postal or email marketing lists to send you our advertisements from which you can opt out (see below), update payment information and use it to correct our records, or customer support information.

We rely on one or more of the following legal bases to process data:

  • the processing is necessary for the purposes of our legitimate interests, such as in improving, personalizing, and developing the App, and maintaining App safety and security as described in this Policy;

  • To facilitate the creation of Your account and verification of Your identity to help You sign-up for Our App;

  • To better understand and improve Our App;

  • To respond to Your inquiries or fulfilling Your requests for information about Our App;
  • To provide You with information about Our App and sending You information and materials from Uniqode including marketing communication; if such Applicable Data Protection Law requires Us to obtain Your consent before marketing to You, We shall obtain Your consent before sending

such marketing communication;

  • To send You information about Our products and services, events, webinars, or programs that may be of Your interest;

  • To detect and prevent identity theft, fraud, and other potentially illegal acts as well as protecting the integrity of the App;
  • To respond to subpoenas, court orders, or judicial processes;
  • To provide information to law enforcement agencies or in connection with an investigation on matters related to public safety;
  • To resolve disputes and troubleshoot problems;
  • To help with any investigations or complaints; and
  • To provide You with relevant information or App that You request from Us or which We feel may interest You based on previous interactions, where You have consented to be contacted.

How We use Cookies and Similar Technologies

When you visit our App, We may place a cookie on Your device. A cookie is a text file which is stored on your device and allows us to distinguish you from other users of this App. Session-based cookies last only while Your browser is open and are automatically deleted when You close Your browser. Persistent cookies last until You or Your browser delete them or they expire.

  • Social Media: We provide social media buttons on Our App that link to social media pages for Us, or to Our specific products and services. These social media pages are not owned or operated by Us. If you click on the social media button, You will be taken to Our page and a cookie may be set by the social media service to enable You to share our content with Your friends and networks. It is Your choice whether to log-in to Your social media account. These sites are governed by their own privacy and related policies.   • You Tube: We use the available privacy functionality in YouTube to display video content on YouTube. We have turned on “Privacy-Enhancing Mode” for YouTube videos displayed on the App. This means that YouTube does not place cookies on a video embedded on the App unless you press “play” to view the video. For more information, please see Google’s privacy practices. You may also view content on the YouTube website. To control your privacy settings in YouTube, please see YouTube Privacy Controls. It is Your choice whether to log-in to Your YouTube account. YouTube is governed by its own privacy and related policies. Please read them to understand how they may use Your personal information.

How to manage cookies: We will request Your consent for the use of cookies that are not strictly necessary when You first visit our App, and You can manage Your cookie preferences at any time. You can instruct Your browser to refuse all cookies or to indicate when a cookie is being sent. Sharing and Sale of Personal Data

Uniqode provides Your Personal Data to third parties who are obligated to use the Personal Data that We share with them for the purpose of provision of their services to Us, or in order to help Us provide You the App. These third parties include but are not limited to business partners, suppliers, sub-contractors, advertisers & advertising networks, analytics & search engine providers, payment providers for providing back-up, storage, payment processing, analytics, and marketing services. We may also share with third parties de-identified, aggregate data that does not personally identify You. For example, We use Stripe to manage Our payments, but We reserve the right to change this service provider at any time for any reason. Although no method of transmission over the Internet or electronic storage is 100% secure, We follow all PCI-DSS requirements and implement additional generally accepted industry standards. Your payment card information will also be subject to Our payment processor’s privacy policy in addition to Ours. PLEASE READ THE PRIVACY POLICY ON THE SITE OF ANY PAYMENT PROCESSOR TO WHOM YOU ARE DIRECTED REGARDING THE USE, STORAGE AND PROTECTION OF YOUR PAYMENT CARD INFORMATION BEFORE SUBMITTING ANY PAYMENT CARD INFORMATION.

We may also share Your Personal Data in the following circumstances:

  • When We are required to provide information in response to a subpoena, court order, or other applicable law or legal process;
  • When We have a good faith belief that the disclosure is necessary to prevent or respond to fraud, defend Our App against attacks, or protect the property and safety of Uniqode, Our customers and End-Users, or the public;
  • When We are required to provide information to professional advisors who advise and assist Us in enforcing Our contracts and policies, handling Our claims, effective management of Our company and in relation to any disputes in which We become involved.
  • If We merge with or are acquired by another company, or if We sell a Uniqode App or business unit, or if all or a substantial portion of Our assets are acquired by another company. In those cases, Your Personal Data will likely be one of the assets that is transferred.

There are several places within Our App that allow You to post comments or submit Customer Data for others to see. Any information You choose to provide should reflect how much You want others to know about You. Please consider carefully what information You disclose in Your profile page. You can review and revise Your profile information at any time.

Although we have not “sold” personal information for money in the past 12 months, we engage in routine practices with our App and App Services involving third parties that could be considered a “sale” or “sharing” for targeted advertising as defined under some Applicable Data Protection Law.

Storage and International Transfer of Personal Data

Your Personal Data and files are stored on Uniqode's servers and the servers of companies We hire to provide services to Us for the purposes referred under the section “Use of Your Personal Data.” Your Personal Data may be transferred across national borders because We have servers located in United States, and the companies We hire to help Us run Our business may be located in different countries around the world.

You acknowledge and agree that We store information received through or by Our App in the United States. If You are providing the information from another country, You give affirmative consent to this transfer and understand that the information will be transferred, stored, and used in the United States.

Security of Your Personal Data

We use physical, technical, organizational, and administrative safeguards for Our App designed to protect against loss, misuse, unauthorized access, disclosure, alteration, or destruction of the information We

collect through Our App. Our security controls are designed to maintain data confidentiality, integrity, and an appropriate level of availability. However, We cannot ensure or warrant the security of any information You upload to Our App.

Messages that You send to Us by email, including by use of the “Contact Us” form on the App, may not be secure, and use of email is not recommended for sending Us confidential or sensitive information.

Retention of Personal Data

We retain Personal Data collected where an ongoing legitimate business interest requires retention of such Personal Data. In the absence of a need to retain Personal Data for any legitimate business purpose, We will either delete it or aggregate it, or, if this is not possible then We will securely store Your Personal Data and isolate it from any further processing until deletion is possible.

What rights You have

Any Personal Data collected by or through Our App will be used only for the purpose it was provided to Us by You as described in this Privacy Policy. Once Personal Data is no longer reasonably necessary for business purposes, We will destroy Your Personal Data in accordance with Our record retention and destruction policies.

We also respect Your rights related to Your Personal Data under applicable laws such as California and other jurisdictions in the United States and internationally. Depending on where You reside, You may have the right: (1) to be informed about Our collection, use, and disclosure of Your Personal Data; (2) to know if We maintain Your Personal Data, and, if We do, to receive a copy (subject to the rights of others) and to update it if it is inaccurate or out of date; (3) to object to Our processing of Your Personal Data, and, if we are processing Your Personal Data based on Your consent, to withdraw that consent at any time; (4) to ask Us to delete or restrict your Personal Data; and (5) to not be subjected to any discriminatory treatment for the exercise of Your privacy rights.

Shine the Light Law: We do not share information that identifies You personally with non-affiliated third parties for their own marketing use without Your permission.

Do not track signals and requests: Do not track signals and requests are sent from Your browser to this App indicating you do not want to be tracked or monitored. At this time, we do not honor do not track signals or requests.

If You seek to exercise Your rights under this clause, please contact Us at the details provided in the

Section “Questions and Changes to the Policy.” We will verify any requests before acting on the request and respond to all requests We receive from individuals wishing to exercise their data protection rights within a reasonable timeframe in accordance with applicable data protection laws. Additionally, please note that these rights are not absolute, for example, Your deletion request does not ensure complete deletion or comprehensive removal, because the content or information may be retained subject to applicable law or where We have a legitimate interest to retain the information, of which We will inform You.

Privacy of Children

We recognize the importance of children's safety and privacy. We do not permit anyone under the age of 18 to download the App, and We do not request, or knowingly collect, any personally identifiable information from children under the age of 18. Uniqode is very sensitive to privacy issues regarding chnd ildren. By using Our App, You are attesting to be 18 years of age or above.

If You believe that any child under the age of 18 has posted any Personal Data anywhere on Our App, please contact Us immediately at legal@uniqode.com and provide as much information as You can to help Us locate and delete the Personal Data.

If a parent or guardian becomes aware that his or her child or any other child under the age of 18 has provided Us with Personal Data, he or she should write to Us at legal@uniqode.com

Marketing Communications

We will send marketing and informational communications to Your mobile devices if You have

affirmatively indicated You want to receive them by providing Your contact information and selecting the appropriate boxes to confirm Your choice. Additionally, We may purchase mailing lists from a third party to send relevant information to Customers regarding our products and services. Individuals can opt-out of these mailings, future marketing and informational materials at any time by contacting us as noted

below and indicating your changed preference or clicking on the unsubscribe or opt-out feature at the bottom of electronic marketing and informational materials. If You choose no longer to receive

marketing information, We may still communicate with You regarding transactional or administrative topics such as Your account and Service requests.

Use of Third Parties:

Some of the functionality on Our App may be provided by third parties that are not affiliated with

Uniqode. These entities may collect or receive certain information about Your use of Our App and Your activities over time and across different websites, including through the use of cookies, web beacons, and similar technologies. Uniqode is not responsible for the privacy practices of these entities. In

addition, Our App may contain links to other third-party websites not operated or controlled by Us. This Privacy Policy shall not apply to them and such websites are not under Our control and We are not responsible for their privacy policies or practices. If You provide any Personal Data through any such

third-party website, We recommend that You familiarize Yourself with the privacy policies and practices of that third party.
